These Terms are a template prepared for 1click2open and should be reviewed by qualified legal counsel before you rely on them.
These Terms & Conditions ("Terms") govern your access to and use of the proofwright.eu website and the Proofwright software and services (together, the "Service"), operated by 1click2open ("Proofwright", "we", "us"). By using the Service, creating an account, or purchasing a subscription you agree to these Terms.
1. The Service
Proofwright helps WordPress agencies prepare and evidence due diligence for the EU Cyber Resilience Act (CRA): software bills of materials (SBOMs), a compliance posture score, vulnerability monitoring, incident workflows and tamper-evident evidence packs.
Proofwright is a workflow and evidence tool. It does not provide legal advice, and a readiness score is not a determination of legal compliance. You remain responsible for your own regulatory obligations. Dates, figures and regulatory references in the Service are provided for convenience and should be verified independently.
2. Eligibility & accounts
The Service is sold to businesses only. By purchasing you confirm you are acting for purposes relating to your trade, business or profession and not as a consumer. You must provide accurate information (including a valid VAT number where you are an EU business), keep your credentials secure, and are responsible for activity under your account. You must be at least 16 years old.
3. Plans, licences & metering
Proofwright is offered in Free, Solo, Pro and Agency plans. Paid plans are licensed, not sold, on a non-exclusive, non-transferable basis for the term you purchase. Licence keys and seats are personal to you; the Agency plan is metered by the number of client sites activated. You agree not to share keys, exceed your seat allowance, or circumvent metering.
4. Fees & VAT
Prices are shown in euro (EUR) and exclude VAT. VAT is handled according to your location and status: for EU business customers who provide a valid VAT number, the reverse-charge mechanism applies and we do not charge VAT (you account for it in your own return); for customers established outside the EU, the sale is outside the scope of EU VAT. A VAT invoice is issued for every purchase and emailed to you with your licence. Paid plans are billed annually in advance and renew for successive annual terms unless cancelled before the renewal date. We may change prices for future terms with reasonable notice; a founding-member rate, where offered, is honoured for as long as your subscription remains continuously active. Payments are processed by PayPal — see Section 5.
5. Payments via PayPal
Payment is taken through PayPal. By paying you also accept PayPal's terms. We do not receive or store your full card details. Your licence is generated and delivered electronically immediately after payment is confirmed; by completing checkout you expressly request that immediate delivery.
6. Refund Policy
Proofwright is digital content, delivered electronically and in full immediately on payment, to business customers.
- Immediate delivery & withdrawal. At checkout you confirm that you are purchasing as a business, that you request immediate delivery of the licence, and that — to the extent any right of withdrawal would otherwise apply — you waive it once delivery has begun. Business customers do not benefit from the consumer 14-day right of withdrawal.
- Once delivered. Because the licence is delivered in full at the moment of purchase, fees are generally non-refundable.
- Something wrong? If the Service does not work as described, or a payment or renewal was taken in error, email connect@proofwright.eu within 14 days of the charge with your order details and we will investigate and put it right in good faith — including a refund where appropriate.
- Renewals. You can cancel at any time before a renewal date to stop the next charge. Fees for a term already started are treated as above.
- How refunds are paid. Approved refunds are returned to the original PayPal payment method, typically within 14 days.
- Chargebacks. Please contact us before raising a chargeback so we can resolve the issue directly.
Nothing in this policy limits any non-waivable rights you may have under applicable law.
7. Acceptable use
You agree not to misuse the Service, including: reverse-engineering except as permitted by law, reselling access outside your plan, uploading unlawful content, attempting to breach security or metering, or using the Service to violate any third party's rights.
8. Intellectual property
The Service, including its software, design and content, is owned by 1click2open or its licensors and protected by law. Open-source components are licensed under their own terms. The evidence and reports you generate about your own sites belong to you.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, or that its outputs guarantee regulatory compliance.
10. Limitation of liability
To the fullest extent permitted by law, 1click2open is not liable for indirect, incidental or consequential losses, or for lost profits, revenue or data. Our total aggregate liability arising out of the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
11. Term & termination
These Terms apply while you use the Service. We may suspend or terminate access for breach, non-payment, or to comply with law. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current term.
12. Changes
We may update these Terms. Material changes will be posted here with a new effective date and, where appropriate, notified to you. Continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws applicable at 1click2open's place of establishment, without prejudice to mandatory consumer protections in your country of residence.
